1. Acceptance of Terms
By accessing or using the Reception Portal platform, website, applications, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you (whether an individual or an entity) and Reception Portal ("Company," "we," "us," or "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you have the authority to enter into these Terms.
2. Description of Service
Reception Portal provides an AI-powered virtual receptionist service designed for businesses. The Service includes, but is not limited to:
- Automated call answering and handling powered by artificial intelligence
- Appointment scheduling and calendar management integrations
- Call routing, forwarding, and transfer capabilities
- Voicemail transcription and message delivery
- Customer inquiry handling and FAQ responses
- Real-time analytics and call reporting dashboards
- Integration with third-party scheduling, CRM, and communication tools
We reserve the right to modify, update, or discontinue any feature of the Service at our discretion, with reasonable notice provided to active subscribers.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must be at least 18 years of age or the age of legal majority in your jurisdiction
- You must provide a valid business email address and contact information
- You are responsible for keeping your login credentials secure
- You must notify us immediately of any unauthorized use of your account
- One account per business entity unless otherwise agreed in writing
We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.
4. Pricing & Payment
Reception Portal offers subscription-based pricing plans. By subscribing, you agree to the following payment terms:
- Setup Fee: A one-time setup fee of $99 applies to all new accounts. This covers initial configuration, voice training, and onboarding of your AI receptionist.
- Billing Cycles: Subscriptions are available on monthly or yearly billing cycles. Yearly plans include a discount as displayed at the time of purchase.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
- Payment Methods: We accept major credit cards and other payment methods as displayed during checkout. You authorize us to charge your selected payment method for all applicable fees.
- Price Changes: We may adjust pricing with at least 30 days' written notice before your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.
- Refunds: Setup fees are non-refundable. Monthly subscriptions may be canceled at any time but are non-refundable for the current billing period. Yearly subscriptions may be eligible for a prorated refund within the first 30 days.
All fees are exclusive of applicable taxes, which will be added where required by law.
5. Usage Limits
Each subscription plan includes a specified allocation of AI receptionist minutes per billing cycle. Usage limits vary by plan tier.
- Minute Allocation: Your plan includes a set number of minutes per month as described on our pricing page. Minutes are counted from the moment a call is answered by the AI receptionist until the call ends.
- Overage: If you exceed your allocated minutes, additional minutes will be billed at the per-minute overage rate specified in your plan. You will receive notifications as you approach your limit.
- Unused Minutes: Unused minutes do not roll over to the next billing cycle unless your plan explicitly states otherwise.
- Fair Use: All plans are subject to a fair use policy. We reserve the right to review accounts with abnormally high usage patterns and may require an upgrade to an appropriate plan tier.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not:
- Use the Service for any illegal, fraudulent, or deceptive activities
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Use the Service to make or facilitate robocalls, spam, or unsolicited communications
- Interfere with or disrupt the Service infrastructure or other users' access
- Use the Service to collect, store, or process sensitive personal data in violation of applicable privacy laws
- Resell, sublicense, or redistribute the Service without prior written consent
- Impersonate another person or entity through the Service
- Use the Service in any manner that could damage, disable, or impair our systems
Violation of this policy may result in immediate suspension or termination of your account without refund.
7. Intellectual Property
All content, features, functionality, software, designs, trademarks, and other intellectual property associated with the Service are owned by Reception Portal or its licensors and are protected by copyright, trademark, and other intellectual property laws.
- Our IP: You may not copy, modify, distribute, or create derivative works based on our intellectual property without express written permission.
- Your Content: You retain ownership of any content, data, or materials you provide through the Service. By using the Service, you grant us a limited, non-exclusive license to process and use your content solely for the purpose of delivering and improving the Service.
- Feedback: Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation or compensation to you.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.
- We are not liable for any missed calls, scheduling errors, or communication failures that may occur during the use of the Service.
- In no event shall Reception Portal, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the theory of liability.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Termination
Either party may terminate this agreement as follows:
- By You: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing cycle.
- By Us: We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay applicable fees, or if we determine that your use poses a risk to the Service or other users.
- Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period of 30 days, during which you may request an export of your data.
Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive any termination of these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the language of arbitration shall be English.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
11. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Effective Date" at the top of this page
- Notify active subscribers via email at least 15 days before the changes take effect
- Post a notice on the Service indicating that the Terms have been updated
Your continued use of the Service after the updated Terms take effect constitutes acceptance of those changes. If you do not agree with the revised Terms, you must discontinue use of the Service and cancel your subscription.
